Directors and officers liability

Directors and officers liability is the potential legal responsibility of individuals for actions or omissions in managing an organisation. It exists separately from any insurance policy.

01 / The meaning

What it means.

Allegations can concern financial oversight, conflicts, misleading statements or other management decisions. Holding a management title does not establish that every allegation is valid, and the duties of a particular person depend on their role and applicable law. A claim against a company is also not automatically a claim against its directors personally. Identify the defendant and alleged duty before assessing insurance.

Good records can help explain what information a decision-maker considered and why a decision was made. Board minutes, approvals and professional advice therefore matter alongside cover. Company indemnities and D&O insurance may address different parts of the exposure, with legal and policy restrictions on reimbursement. Past officeholders can remain exposed after leaving a role, which makes document retention and appropriate continuity arrangements relevant during a sale or closure.
